Limitation of Liability
To the fullest extent permitted by applicable law, GreenLead shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- • Loss of profits, revenue, or business opportunities
- • Loss of data or information
- • Business interruption or operational delays
- • Reputational damage or goodwill loss
In any event, our total liability shall not exceed the amount you paid to us for services during the twelve months preceding the claim.
Consequential Damages Exclusion
Under no circumstances shall GreenLead be liable for any failure or delay in performing obligations where such failure or delay results from circumstances beyond our reasonable control, including acts of nature, governmental actions, telecommunications failures, or other force majeure events.
Termination and Suspension
Termination by You
You may terminate your participation in our programs by providing written notice according to the terms specified in your program agreement. Termination does not entitle you to a refund unless explicitly stated in the program terms.
Termination by Us
We reserve the right to suspend or terminate your access to our services immediately, without notice, for conduct that we believe violates these terms, harms other users, or exposes us to liability.
Effect of Termination
Upon termination, your right to access and use our services ceases immediately. Provisions of these terms that by their nature should survive termination shall remain in effect, including liability limitations and dispute resolution provisions.
Data After Termination
Following termination, we may delete your account data in accordance with our data retention policies. We recommend downloading any important information before terminating your account.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Tokyo, and you consent to the jurisdiction of such courts.
In the event of any dispute arising from these terms, the parties agree to first attempt to resolve the matter through good-faith negotiations. If negotiations are unsuccessful within thirty days, either party may pursue formal legal proceedings.
The prevailing party in any legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.
Severability and Waiver

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.
Waiver
No waiver of any term or condition of this agreement shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
Assignment and Transfer
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign or transfer our rights and obligations under these terms to any third party, including in connection with any merger, acquisition, or sale of assets, without restriction.
These Terms and Conditions, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and GreenLead regarding the use of our services and supersede all prior agreements and understandings.
